These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “User”), and Melissa McCrery (“Company,” “we,” “us,” or “our”), concerning your access to and use of the websites located at https://melissamccrery.com and https://hersovereignos.com, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing the Site and utilizing our services, systems, or intellectual work, you agree that you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.


1. NATURE OF SERVICES AND NO PROFESSIONAL ADVICE (IDENTITY AUTHORITY)

1.1 Scope of Work. Melissa McCrery operates at the intersection of identity architecture, decision governance, and sovereign self-leadership. The services provided include, but are not limited to, intellectual work (essays and cultural analysis), advisory engagements, speaking engagements and events, and structured systems such as HER Sovereign OS (the “Services”).

1.2 Identity Governance Architecture; Educational and Structural Nature. You acknowledge that the Services are identity-first and designed to provide Identity Governance Architecture and durable internal governance frameworks and structural systems for self-governance. Advisory and speaking engagements are based on identity architecture and decision governance frameworks. The Services are not, and shall not be construed as, coaching, therapy, psychological counseling, medical advice, legal advice, or financial advice, and are not a substitute for clinical therapy, medical treatment, psychiatric care, or crisis intervention.

1.3 Identity Authority Retained by User; Self-Responsibility. You acknowledge and agree that you retain full Identity Authority, meaning you are solely responsible for your internal governance, including your standards, responsibilities, permissions, boundaries, choices, and interpretations. The Company provides the architecture; the User provides the implementation and stewardship.

1.4 No Crisis Services. The Company does not provide emergency services. If you are experiencing a crisis, you should contact local emergency services and/or a qualified medical or mental health professional.


2. INTELLECTUAL PROPERTY RIGHTS (INGENUITY AUTHORITY)

2.1 Ownership; Ingenuity Authority Reserved. Unless otherwise indicated, the Site and the Services, including the HER Sovereign OS™ framework and architecture, identity architecture models, and all essays, cultural analysis, and thought leadership content published on https://melissamccrery.com (including any associated newsletters, downloads, and written/audio/video materials) as well as any other content, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by Melissa McCrery and are protected by copyright and trademark laws. You acknowledge that the Ingenuity Authority of the frameworks—meaning the underlying architecture, models, structures, and intellectual design (including without limitation HER Sovereign OS™, the C.A.G.E. Loop, and the Stabilizer Pattern)—remains the sole property of Melissa McCrery.

2.2 Limited License to Apply (Not Redistribute). Subject to your compliance with these Terms and any specific purchase agreements, you are granted a non-exclusive, non-transferable, revocable license to access the Content and apply the frameworks to your own life and/or internal business governance. This license permits application and use; it does not grant any right to copy, share, teach, train, sublicense, publish, or redistribute the underlying architecture except as expressly authorized in writing by the Company.

2.3 Prohibited Use; No Unauthorized Redistribution. You may not:

  • Reproduce, distribute, share, publish, transmit, teach, train, or publicly display the Content (including any HER Sovereign OS materials and any essays, cultural analysis, and thought leadership content from https://melissamccrery.com without express written permission.
  • Sell, rent, lease, or sub-license the HER Sovereign OS framework, architecture, or any proprietary systems.
  • Provide the Content to any third party (including by file sharing, posting in a group, or uploading to a public or private repository) except as expressly permitted in writing by the Company.
  • Decompile or reverse engineer any AI-integrated infrastructure or software provided by the Company.
  • Use the Company’s systems to create a derivative “coaching” or “consulting” framework for commercial resale.

3. HER SOVEREIGN OS AND ADVISORY ENGAGEMENTS

3.1 System-First Model. HER Sovereign OS is a structural operating system. It does not rely on proximity to Melissa McCrery or continuous community validation. Access to the system is designed for independent operation.

3.2 Ownership over Enrollment. By engaging with the OS, you agree to steward and operate the system independently. The Company does not guarantee continuous “hand-holding” or emotional accountability, as the framework is built for self-governing authority.

3.3 AI Infrastructure. To the extent the Services include AI-integrated infrastructure, such tools are provided to support decision clarity. You remain the sole authority over any decisions made using these tools.


4. ADVISORY AND SPEAKING EVENTS

4.1 Booking; Scope. Advisory engagements and speaking events may include keynotes, workshops, private sessions, and/or facilitated discussions (each an “Engagement”). The scope, deliverables, dates, format (virtual or in-person), and fees will be set forth in writing (email confirmation, invoice, or a separate agreement) and are incorporated into these Terms by reference.

4.2 Payment. Unless otherwise stated in writing, payment is due in advance to reserve dates. The Company may require a deposit and/or payment in full before the Engagement. You are responsible for any applicable taxes. If the Engagement requires travel, travel and related expenses may be invoiced separately unless expressly included in the fee.

4.3 Cancellation and Rescheduling. Unless otherwise stated in writing:
(a) By You. You may request to reschedule with at least fourteen (14) days’ notice. Rescheduled dates must occur within ninety (90) days of the original date, subject to availability. Cancellations or rescheduling requests with less than fourteen (14) days’ notice may result in forfeiture of some or all fees paid, due to reserved capacity and scheduling commitments.
(b) By Company. The Company may reschedule for illness, emergency, safety, or unforeseen circumstances. If the Company cancels and cannot reschedule within a commercially reasonable period, the Company will refund the fees paid for the cancelled portion of the Engagement (excluding non-refundable travel costs already incurred, if applicable).

4.4 No Coaching or Therapy. Advisory and speaking Engagements are identity-first and delivered as structural frameworks and governance tools. They are not coaching or clinical therapy, and they do not create a therapist-client, physician-patient, attorney-client, or fiduciary relationship.


5. USER REPRESENTATIONS

By using the Site or Services, you represent and warrant that:

  1. You have the legal capacity and you agree to comply with these Terms.
  2. You are not a minor in the jurisdiction in which you reside.
  3. You will not use the Site for any illegal or unauthorized purpose.
  4. Your use of the Services will not violate any applicable law or regulation.

6. FEES AND PAYMENT

6.1 Payment Terms. You agree to pay all charges at the prices then in effect for your purchases. We reserve the right to refuse any order placed through the Site.

6.2 No-Refund Policy (Digital Access and Proprietary Work). Due to the immediate nature of intellectual work delivery and access (including digital materials, downloads, portals, and/or immediate access to proprietary frameworks) and the proprietary architecture of HER Sovereign OS, all sales are final and non-refundable for digital access and proprietary work, unless otherwise required by law or expressly agreed in a separate written agreement signed by the Company.


7. LIMITATION OF LIABILITY AND DISCLAIMER

6.1 “As Is” Basis. The Site and Services are provided on an “as-is” and “as-available” basis. You agree that your use of the Site and our Services will be at your sole risk.

6.2 No Guarantee of Results. While the systems are designed for stabilization and complex growth, the Company makes no guarantees regarding specific outcomes. Results are dependent on the User’s internal capacity and execution.

6.3 User Decision-Making and Implementation. The Company provides governance tools, frameworks, and structural architectures. You are solely responsible for your own decision-making, actions, implementation, and results, including how you apply any concepts, prompts, tools, or materials provided.

6.4 Liability Cap. In no event will Melissa McCrery or our employees be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your use of the Site or Services.


8. GOVERNING LAW
